Hereinafter: Service Provider. The party contracting with the Service Provider: Client.
2. Scope of the GTC and order of precedence of contractual documents
2.1. These GTC apply to all contracts concluded between the Service Provider and the Client for the services listed in Section 3, unless the Parties expressly agree otherwise on the given matter in the Individual Contract.
2.2. The Service Provider contracts exclusively with businesses and other organisations, in connection with their economic or professional activities. The Service Provider does not conclude contracts with consumers – i.e. natural persons acting outside the scope of their profession, independent occupation or business activity. On concluding the contract, the Client declares that it is concluding the contract in connection with its economic or professional activity and is not acting as a consumer.
2.3. In the event of any discrepancy between the contractual documents, the following order of precedence applies:
- the signed Individual Contract and its annexes;
- the offer expressly referred to in the Individual Contract and accepted by the Parties;
- these GTC.
The provision of the document ranking higher in the order of precedence prevails on the given matter. An offer does not in itself create a contract; the terms set out in the offer apply if they are referred to in the Individual Contract and thereby incorporated into the system of documents set out in this section.
2.4. The Client’s own general terms and conditions or purchasing terms become part of the contract only if the Service Provider has expressly accepted them in writing.
2.5. These GTC become part of the Individual Contract upon its conclusion if the Service Provider clearly refers to the GTC in the Individual Contract, indicates where they are available, and enables the Client to become acquainted with them before the contract is concluded. By signing the Individual Contract, the Client declares that it has read and accepted the content of the GTC.
3. Scope of services
3.1. The Service Provider provides in particular the following engineering and technical services:
- schematic design;
- printed circuit board (PCB) layout design;
- design for manufacturability (DFM) review;
- compiling bills of materials (BOM) and selecting components;
- generating manufacturing files;
- assembly and soldering of prototypes;
- functional testing covering the hardware (HW);
- organising prototype manufacturing and component procurement;
- repair of electronic devices, exclusively for businesses;
- technical consulting.
3.2. The Service Provider does not carry out series production. Organising and performing series production is the responsibility of the Client, who may provide for it itself or through a manufacturer of its choice.
3.3. The exact scope of the services to be provided within a given project, the deliverables and the technical requirements are set out in the Individual Contract.
3.4. If performing the service requires the Service Provider to take over the Client’s device, circuit board or other physical asset, the Parties may set out the terms of handover and acceptance, transport, safekeeping and bearing the risk of loss in the Individual Contract or in a separate written agreement.
4. Request for quotation, offer, conclusion of the contract
4.1. Completing and submitting the contact or requirements questionnaire available on the Service Provider’s website constitutes a preliminary enquiry. Submitting the questionnaire obliges neither the Client nor the Service Provider to conclude a contract and does not in itself create a contract.
4.2. Based on the enquiries received and the information provided, the Service Provider may prepare an individual offer. The offer states its period of validity and the service and other terms it specifies. The offer does not in itself create a service contract, and its acceptance does not replace the conclusion of the Individual Contract under Section 4.3.
4.3. The contract for the provision of the service between the Service Provider and the Client is concluded by a written Individual Contract signed by the Parties. The Parties may conclude the Individual Contract on paper or electronically, provided that the form used meets the applicable legal requirements. The Parties may also agree to exchange electronic copies of signed documents by e-mail.
4.4. The Service Provider may make the start of work conditional upon the signing of the Individual Contract and – if the Individual Contract provides for an advance payment – upon receipt of the advance payment. The conditions for starting work are set out in the Individual Contract.
5. Performance, cooperation, handover and acceptance
5.1. The Client shall provide the Service Provider with the data, specifications, documents and decisions required for performance and shall cooperate with the Service Provider during performance. The Service Provider is not liable for delays and defects resulting from incomplete, incorrect or late provision of information by the Client or from the Client’s failure to cooperate. In such cases, the deadline for performance is extended in proportion to the duration of the obstruction and its reasonable consequences.
5.2. The Service Provider may engage subcontractors to perform the contract. The Service Provider is liable for the conduct of its subcontractors in accordance with the law. The confidentiality obligation set out in Section 9 of these GTC shall also apply accordingly to subcontractors.
5.3. The Service Provider hands over the results of performance to the Client in the manner and format specified in the Individual Contract. The scope and format of the deliverables – in particular designs, technical documentation, native design files, manufacturing files and bills of materials – are set out in the Individual Contract.
5.4. The detailed terms for verifying performance, reporting any defects and handover and acceptance may be set out in the Individual Contract. The Client shall inspect the results of performance as specified in the contract and report any defects found in accordance with the applicable laws and the provisions of the Individual Contract.
5.5. Changes requested by the Client during performance shall be agreed by the Parties in writing. If a change affects the content of the service, the fees or the deadline for performance, the Parties shall record its terms in writing before the change is implemented.
6. Fees, invoicing, payment
6.1. Unless otherwise agreed, the Service Provider invoices on an hourly basis according to the working time actually spent. In the Individual Contract, the Parties may instead agree on a fixed fee, milestone-based fees, an advance payment or another billing arrangement.
6.2. Unless otherwise stated, the fees quoted by the Service Provider are net fees, to which value added tax is added in accordance with the laws in force from time to time.
6.3. The Service Provider issues invoices in Hungarian forints (HUF) or euros (EUR), according to the currency specified in the Individual Contract. The payment deadline is set out in the Individual Contract; failing that, the applicable statutory provisions apply.
6.4. Travel, accommodation and other costs related to on-site work may be passed on to the Client only with its prior written approval.
6.5. In the event of late payment, the Client shall pay the default interest applicable to contracts between businesses under Section 6:155 of the Hungarian Civil Code, as well as the fixed debt-collection cost allowance under Act IX of 2016, provided that the statutory conditions are met.
6.6. If the Client fails to meet a payment obligation when due, the Service Provider is entitled – after prior written notice to the Client and the fruitless expiry of a reasonable additional deadline for payment – to suspend performance of the service until the overdue debt is settled. The Parties shall consult on any justified adjustment of deadlines resulting from the suspension.
6.7. The Parties may agree in the Individual Contract on the transfer of ownership of procured components and completed prototypes, and on any retention of title.
7. Defective performance, liability
7.1. The Service Provider shall perform the service in accordance with the technical requirements specified in the Individual Contract and the applicable laws. In the event of defective performance, the rights and obligations of the Parties are governed by the provisions of the Hungarian Civil Code and the relevant terms of the Individual Contract.
7.2. Following handover, the Client shall inspect the results of performance with regard to the nature of the service and the requirements set out in the Individual Contract, and shall notify the Service Provider in writing of any defects found. The remedying of defects, any price reduction and other claims arising from defective performance are governed by the applicable laws and the provisions of the Individual Contract.
7.3. The Client is responsible for checking and testing the results of the service in accordance with their intended purpose before their intended use, and – where necessary – for carrying out, or having carried out, the applicable conformity assessment procedures. This does not release the Service Provider from fulfilling its own contractual obligations.
7.4. The Service Provider’s liability for damages arising from breach of contract is governed by the provisions of the Hungarian Civil Code. In the Individual Contract, the Parties may set out the extent and any limitation of liability within the limits permitted by law.
7.5. The liability of the Parties is governed by the statutory provisions in force from time to time.
8. Intellectual property
8.1. The terms of use of the designs, documentation, software and other results created in the course of the service are set out in the Individual Contract.
8.2. Unless the Individual Contract provides otherwise, after payment of the full consideration the Client is entitled to incorporate the results of the service into its own product, to manufacture or have manufactured products on that basis, and to modify them, or have them modified by a third party, to the extent necessary for the development and manufacture of the product. This right of use does not extend to the Service Provider’s pre-existing or generally usable intellectual assets defined in Section 8.3, except for the use permitted there.
8.3. Design tools, component libraries, footprints, templates and other solutions created by the Service Provider before the project, or that are generally usable, remain with the Service Provider. The Client is entitled to use them to the extent necessary to use the results of the service in accordance with the contract.
8.4. The Service Provider may list the Client’s name and the project as a reference only with the Client’s prior written consent.
9. Confidentiality and data protection
9.1. The Parties shall treat as confidential all non-public business, technical and other information that comes to their knowledge in the course of preparing or performing the contract, and may use such information only to the extent necessary to perform the contract. The confidentiality obligation survives the termination of the contract.
9.2. Confidentiality does not extend to information that is demonstrably public, that the Party concerned lawfully obtained without a confidentiality obligation, or whose disclosure is required by law. In the event of a disclosure required by law, the Party concerned shall inform the other Party in advance, where this is lawful and possible.
9.3. The Parties may set out additional or different terms in a separate non-disclosure agreement (NDA). In the event of a discrepancy, the provisions of the NDA prevail on the given matter if the agreement expressly so provides.
9.4. The Service Provider processes personal data in accordance with the applicable data protection laws. The detailed rules of data processing are set out in the Privacy Policy published on the Service Provider’s website.
10. Amendment, termination, force majeure
10.1. The Individual Contract may be amended by mutual written agreement of the Parties, taking into account the applicable statutory provisions.
10.2. The conditions for terminating or cancelling the Individual Contract and the rules for settling accounts upon termination may be set out in the Individual Contract. In the absence of a different agreement between the Parties, the settlement of accounts is governed by the applicable laws.
10.3. Neither Party is liable for failure or delay in performing its contractual obligations if this is caused by a circumstance beyond its control, unforeseeable at the time of concluding the contract and unavoidable, which prevents performance of the contract. The Party concerned shall inform the other Party of the obstacle without undue delay and take the measures that can reasonably be expected in order to continue performance.
11. Complaints, disputes, governing law, language
11.1. The Client may submit complaints relating to the service in writing to the e-mail address rudolf.bartus@beloratech.com. The Service Provider examines the complaint and responds in writing within 15 working days.
11.2. The Parties shall first attempt to settle disputes arising from the contract through negotiation.
11.3. The Individual Contract and these GTC are governed by Hungarian law. The Parties exclude the application of the United Nations Convention on Contracts for the International Sale of Goods (CISG), insofar as it would otherwise apply.
11.4. The adjudication of disputes is subject to the applicable rules on jurisdiction and venue. In the Individual Contract, the Parties may conclude a separate agreement on the competent court within the limits permitted by the applicable laws.
11.5. These GTC are available in Hungarian, English and German. In the event of any discrepancy, the Hungarian version prevails.
12. Amendment and entry into force of the GTC
12.1. These GTC enter into force on 30 October 2026 and are available on the Service Provider’s website at https://beloratech.com.
12.2. The Service Provider is entitled to amend these GTC. The amended GTC apply to contracts concluded after their entry into force. Contracts already concluded remain subject to the version of the GTC accepted at the time of concluding the contract, unless the Parties agree otherwise in writing.
12.3. The Service Provider retains previous versions of the GTC and makes them available to the Client upon request.
